The H&R Block Board of Directors has developed corporate governance practices to help fulfill its oversight responsibilities to H&R Block shareholders. In furtherance of these practices and in addition to the Company's Bylaws, the Board has adopted corporate governance guidelines, director independence standards and various Board committee charters to provide a framework for the Company's corporate governance practices. The Board has also adopted the H&R Block Code of Business Ethics and Conduct to ensure that associates, company officers and members of the Board of Directors maintain the highest level of business ethics.
