Item 7.01. Regulation FD Disclosure.
Various federal, state, and local governmental and other organizations have recommended or mandated wide-ranging and diverse restrictions on individuals and businesses as a result of the coronavirus (COVID-19) pandemic.
On March 17, 2020, the Secretary of the U.S. Department of the Treasury (“Treasury”) announced that Treasury would allow a deferral of tax payments to the Internal Revenue Service for individuals and corporations for up to 90 days after April 15, 2020. In addition, certain states have extended, and other states may extend, certain state tax deadlines.
As a result, H&R Block, Inc. (the “Company”) is withdrawing its previously announced fiscal year 2020 financial guidance due to the uncertainty created by the above activity and the impacts of the coronavirus (COVID-19) pandemic.
The information in this Item 7.01 is being furnished and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section, and shall not be deemed incorporated by reference into any registration statement or other document filed pursuant to the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.

Furthermore, the Company disclaims any obligation to publicly update or revise any forward-looking statement to reflect changes in underlying assumptions, factors, or expectations, new information, data or methods, future events or other changes, except as required by law. Factors that might cause such differences include, but are not limited to a variety of economic, competitive and regulatory factors, many of which are beyond the Company's control, that are described in our Annual Report on Form 10-K for the fiscal year ended April 30, 2019 in the section entitled "Risk Factors" and additional factors we may describe from time to time in other filings with the Securities and Exchange Commission.
