Item 1.01. Entry into a Material Definitive Agreement

On June 13, 2007, H&R Block Services, Inc. (“Block Services”), a wholly owned subsidiary of H&R Block, Inc., entered into a License Agreement effective August 1, 2007 with Sears, Roebuck and Co. (“Sears”) (the “Sears Agreement”).

 

The Sears Agreement provides for Block Services (or certain of its subsidiaries) to operate H&R Block tax preparation offices in various Sears stores. The Sears Agreement expires on July 31, 2010.
