Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On July 15, 2020, Angela N. Archon notified the Board of Directors of H&R Block, Inc. (the “Company”) that she does not intend to stand for re-election as a director of the Company at the 2020 Annual Meeting of Shareholders. The decision by Ms. Archon not to stand for re-election is not the result of any disagreement with the Company on any matter related to the Company’s operations, policies, or practices.

“Angela has been a dedicated Board member and has served our company and its stakeholders with commitment and integrity. We wish her all the best,” said Robert A. Gerard, Chairman of the Board.
